PREAMBLE

Outsidess Retail Private Limited (“Outsidess” or “Company”) is committed to fostering a legally compliant, transparent, and customer-first environment in all aspects of its digital commerce and stakeholder engagement. These Terms and Conditions (“Terms”) govern access to and use of the Company’s website (“Website”), which offers premium shirts and apparel under the Outsidess brand.

All customers, users, and visitors (collectively referred to as “Users”) are bound by these Terms upon accessing the Website or availing any services offered by the Company.

This Policy is formulated in compliance with applicable Indian laws, including but not limited to the Indian Contract Act, 1872; the Consumer Protection Act, 2019; the Consumer Protection (E-Commerce) Rules, 2020; the Information Technology Act, 2000; the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021; and the Digital Personal Data Protection Act, 2023.

The Company adopts a zero-tolerance approach towards misuse of platform features, policy violations, or abusive conduct. These Terms establish a structured and rights-based mechanism to promote user safety, legal compliance, and seamless platform usage.

WHEREAS

  • Outsidess is a consumer-facing fashion and apparel brand operating within the Indian e-commerce ecosystem;

  • Applicable Indian laws mandate fair disclosures, complaint redressal, and contractual transparency in online commercial transactions;

  • The Company recognizes the importance of safeguarding consumer rights, protecting digital infrastructure, and enforcing user accountability;

  • These Terms set out the binding conditions governing User conduct, rights, and obligations when engaging with the Website and its services.

1. DEFINITIONS AND INTERPRETATION

1.1 Definitions

  • “Act” means all applicable Indian laws governing e-commerce operations.

  • “User” / “Customer” means any individual or entity accessing or using the Website.

  • “Website” means the Company’s digital platform including all subdomains, mobile versions, and applications.

  • “Products” / “Goods” mean all apparel and clothing items, including shirts, sold by Outsidess.

  • “Account” means the registered profile created by a User on the Website.

  • “Policies” mean the Privacy Policy, Refund & Exchange Policy, Shipping Policy, and other formal policies.

  • “Promo Code / Credit Note” means a non-transferable store credit issued in lieu of a refund.

  • “Grievance Officer” means the designated officer responsible for complaint redressal.

  • “Shipping Partner” means third-party logistics providers engaged by the Company.

  • “Force Majeure” means events beyond reasonable control including natural disasters, government actions, pandemics, cyber-attacks, or logistical disruptions.

  • “Applicable Law” means all laws in force in India.

  • “Misuse” means prohibited activities including fraud, impersonation, scraping, or IP infringement.

  • “Territory” means the Republic of India.

1.2 Interpretation

Headings are for convenience only and shall not affect interpretation. Singular includes plural and vice versa. References to this Policy include any amendments made from time to time.

2. PURPOSE

These Terms define the legal relationship between Outsidess and its Users, governing access, browsing, purchases, payments, returns, communications, and use of intellectual property. In case of conflict between these Terms and other policies, these Terms shall prevail unless expressly stated otherwise.

3. ELIGIBILITY TO CONTRACT

Users must be at least 18 years of age and legally competent to contract under Indian law. Outsidess does not knowingly contract with minors without verified guardian consent and reserves the right to restrict access for violations.

4. USER ACCOUNT TERMS

Users are responsible for maintaining the confidentiality of account credentials. Accounts are personal and non-transferable. The Company may suspend or terminate accounts involved in misuse, fraud, or policy violations. Inactive accounts may be deactivated after prior notice. Users may request account closure subject to legal retention obligations.

5. WEBSITE USE RESTRICTIONS (ACCEPTABLE USE POLICY)

Users shall not engage in unlawful activities, upload prohibited content, infringe intellectual property, attempt unauthorized access, scrape data, spread malware, impersonate others, manipulate reviews, or violate applicable IT laws.

The Company reserves the right to suspend access, remove content, initiate legal action, and report violations to authorities.

6. PRODUCT INFORMATION & LISTINGS

Product descriptions and images are for reference only. Minor variations may occur. Availability is subject to stock. The Company reserves the right to cancel orders due to pricing or listing errors and issue refunds as per policy.

7. PRICING, PAYMENT TERMS & SHIPPING CHARGES

Prices are listed in INR and inclusive of applicable taxes unless stated otherwise. Secure third-party payment gateways are used. Shipping charges, if applicable, are displayed at checkout and governed by the Shipping Policy.

8. ORDER CONFIRMATION & FULFILMENT

Order acknowledgement does not constitute acceptance. Orders are accepted only upon verification, dispatch, and assignment to a logistics partner. Dispatch timelines are indicative.

9. ORDER CANCELLATION RIGHTS

Orders may be cancelled prior to processing. The Company reserves the right to cancel orders due to stock issues, payment failure, fraud suspicion, or non-serviceable locations. Refunds are processed as per policy.

10. RETURN, EXCHANGE & REFUND SUMMARY

Returns and exchanges are subject to eligibility conditions outlined in the Refund & Exchange Policy. Refunds are issued as store credit unless otherwise specified. Non-returnable items are clearly marked.

11. SHIPPING, DELIVERY & RISK DISCLAIMER

Delivery timelines are estimates. Risk transfers to the logistics provider upon dispatch. Outsidess is not liable for courier delays, loss, or post-delivery issues beyond reasonable control.

12. GRIEVANCE REDRESSAL

Users may raise complaints with the designated Grievance Officer via the official support email. Complaints are acknowledged and resolved within statutory timelines.

13. PRIVACY & DATA PROTECTION

Personal data is processed in accordance with applicable data protection laws and the Privacy Policy. Users may exercise their data rights as outlined therein.

14. INTELLECTUAL PROPERTY

All intellectual property on the Website is owned by Outsidess or its licensors. Unauthorized use is strictly prohibited and may result in legal action.

15. USER CONTENT & REVIEWS

Users grant Outsidess a perpetual, royalty-free license to use submitted content. The Company may remove content that violates policies or laws.

16. INDEMNITY

Users agree to indemnify and hold harmless Outsidess against claims arising from policy breaches, unlawful conduct, or infringement of third-party rights.

17. LIMITATION OF LIABILITY

The Company is not liable for indirect or consequential damages. Total liability shall not exceed the amount paid by the User for the relevant order.

18. MISCELLANEOUS

These Terms are governed by Indian law. Courts in New Delhi shall have exclusive jurisdiction. The Company may modify these Terms at any time. Severability and entire agreement clauses apply.

LIMITED PERIOD SALE – TERMS

  • Sale applies only to marked products

  • Limited stock availability

  • Sale products are eligible for return/exchange only in case of manufacturing defects

  • COD availability is discretionary

  • Outsidess reserves the right to cancel orders due to stock, pricing, or technical issues

  • Sale terms override general terms only for sale products
